Terms of Service
Effective Date: 19 March 2026
These Terms of Service govern access to and use of Funmerce, a short-form shoppable video platform owned, operated, and maintained by Gasobu Technologies Uganda Limited.
1. Introduction
Funmerce is a digital platform that enables users to discover, create, upload, distribute, share, engage with, and transact around short-form content and commerce experiences. Features may include user accounts, shoppable videos, product listings, storefronts, comments, follows, likes, saves, shares, deep links, messaging or support interactions, order management, referrals, and future functionality such as livestream shopping, creator monetization, wallet services, advertising products, and other commerce or media tools.
These Terms of Service form a legally binding agreement between you and Gasobu Technologies Uganda Limited in relation to your access to and use of Funmerce. They are intended to protect users, sellers, buyers, creators, rights holders, and the platform itself, and to establish a clear framework for platform integrity, legal compliance, content governance, and marketplace operations.
2. Acceptance of Terms
By accessing or using Funmerce, creating an account, uploading content, opening or sharing a deep link, creating a store, listing a product, making a purchase, interacting with content, or otherwise using any platform feature, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional policies, guidelines, seller rules, promotional terms, or feature-specific conditions incorporated by reference.
If you do not agree to these Terms of Service, you must not access or use Funmerce. If you use Funmerce on behalf of a company, brand, agency, or other organization, you represent and warrant that you have authority to bind that entity to these Terms.
3. Definitions
For purposes of these Terms of Service:
- "Buyer" means a user who purchases or attempts to purchase products through Funmerce.
- "Content" means all videos, audio, images, text, comments, reviews, messages, listings, store descriptions, profile materials, livestreams, links, metadata, and other materials submitted, uploaded, transmitted, displayed, or made available through Funmerce.
- "Deep Link" means a direct link to a platform destination, including
/play/<video_id>,/product/<product_id>,/store/<store_id>, and/<username>, as well as future URL formats or share routes. - "Seller" means any user or entity that offers, promotes, advertises, distributes, or sells products or related services through Funmerce.
- "Services" means all Funmerce websites, applications, APIs, feeds, marketplaces, storefronts, communication tools, transaction systems, recommendation systems, analytics layers, and future features.
- "User" means any person or entity that accesses or uses Funmerce, whether or not registered.
4. Eligibility to Use Funmerce
You may use Funmerce only if you are legally permitted to do so under the laws applicable in your jurisdiction and are capable of forming a binding agreement. Certain features, including selling, payouts, wallet access, advertising, creator monetization, and other regulated or financially significant tools, may be available only to users who satisfy additional age, identity, residency, licensing, or compliance requirements.
Funmerce reserves the right to require age confirmation, parental authorization where legally necessary, or identity verification before permitting access to certain services.
5. Account Responsibilities
You are responsible for all activity that occurs under your account, whether or not authorized by you, unless otherwise required by law. You must maintain accurate account information, safeguard credentials, control access to your devices, and promptly notify Funmerce of any suspected unauthorized access, credential compromise, fraudulent use, or account misuse.
You may not sell, transfer, lend, rent, or otherwise make your account available to another person without our prior written consent. We may suspend, secure, or terminate an account where we reasonably suspect unauthorized use, identity fraud, or behavior that threatens platform integrity.
6. User Identity Obligations
You must provide truthful, current, and complete information when creating or maintaining an account, applying to sell, participating in promotions, or interacting with regulated commerce or payout features. You may not misrepresent your identity, create deceptive personas, impersonate any person or entity, or conceal material facts where such concealment would mislead users, buyers, sellers, regulators, rights holders, or Funmerce.
Funmerce may request documentation, declarations, or other evidence to confirm identity, business legitimacy, product authority, or legal eligibility to use certain features.
7. Username Rules
Usernames must not infringe the rights of others, mislead users, impersonate an individual or entity, suggest false affiliation with Funmerce or Gasobu Technologies Uganda Limited, or include unlawful, obscene, hateful, harassing, defamatory, or deceptive material. Usernames may also be restricted where they are inactive, reserved for safety, operational, or trademark reasons, or otherwise likely to create confusion.
Funmerce may reclaim, restrict, modify, or require the change of any username at its discretion where necessary for rights protection, trust and safety, legal compliance, or platform administration.
8. Seller Account Obligations
Sellers must maintain truthful and up-to-date business information, comply with all laws applicable to their operations, and conduct commerce honestly, transparently, and professionally. Sellers are responsible for ensuring that their products, pricing, promotions, fulfillment practices, taxes, customer communications, warranties, and representations comply with consumer protection, trade, product safety, labeling, intellectual property, tax, import or export, sanctions, and other applicable legal requirements.
Seller status is a privilege, not a right. Funmerce may impose onboarding requirements, verification steps, inventory quality standards, product-category restrictions, trust thresholds, performance expectations, reserve balances, payout delays, or other controls to protect users and the platform.
9. Store Creation Rules
A store created on Funmerce must accurately identify the seller behind it and must not be used to create the false impression of independent authenticity, brand affiliation, geographic origin, or business legitimacy that does not in fact exist. Sellers may not operate fake stores, clone stores, duplicate stores created to evade enforcement, or multiple coordinated storefronts designed to manipulate trust signals, pricing, or recommendation systems.
Store names, banners, logos, descriptions, and public policy statements must be truthful and must not infringe the intellectual property or other rights of third parties.
10. Product Listing Obligations
Each product listing must be complete, accurate, lawful, and not misleading. Sellers must clearly describe the product being sold, including material characteristics, condition, quantity, variations, pricing, limitations, compatibility, and any legally required warnings or disclosures. Product listings must correspond to the actual goods offered. Sellers may not use videos, images, thumbnails, descriptions, or demonstrations that materially misrepresent the product, its performance, brand, source, quality, functionality, or included accessories.
Where a product is subject to regulatory requirements, the seller is solely responsible for meeting all registration, certification, licensing, labeling, and market-entry requirements before listing or selling the item through Funmerce.
11. Prohibited Products
Sellers may not list, promote, or sell products that are unlawful, dangerous, counterfeit, stolen, unauthorized, infringing, restricted without required approvals, or otherwise prohibited by Funmerce. Prohibited products include, without limitation, counterfeit goods, unsafe or recalled goods, controlled substances, illegal drugs, unauthorized pharmaceuticals, weapons where prohibited, hazardous materials sold without proper authorization, illicit surveillance equipment, fraudulent financial instruments, stolen property, products that facilitate abuse or violence, deceptive or scam products, and any goods restricted by applicable consumer protection, sanctions, trade, health, safety, or customs laws.
Funmerce may maintain category-specific prohibited or restricted goods rules and may update them at any time.
12. Prohibited Conduct
You may not use Funmerce to engage in unlawful, fraudulent, harmful, abusive, deceptive, or manipulative conduct. Prohibited conduct includes, without limitation:
- impersonation or identity fraud;
- seller fraud, fake stores, fake reviews, fake engagement, or fake transactions;
- manipulated product videos or misleading demonstrations;
- counterfeit sales, passing off, or unauthorized brand use;
- harassment, hate speech, threats, extortion, doxxing, or intimidation;
- posting unlawful, infringing, defamatory, obscene, or exploitative content;
- circumventing platform restrictions or enforcement;
- interfering with payment, fulfillment, recommendation, moderation, or reporting systems;
- using Funmerce to facilitate prohibited off-platform transactions designed to evade rules, fees, safety processes, or compliance checks; and
- any conduct that undermines trust, safety, fairness, legality, or operational integrity.
13. Content Ownership
As between you and Funmerce, and subject to the rights you grant under these Terms of Service, you retain ownership of content you lawfully create and upload. However, you are solely responsible for ensuring that you own or control all rights necessary to upload, publish, license, display, and commercialize such content and to authorize Funmerce and other users to interact with it in the ways contemplated by the Services.
Funmerce does not acquire ownership of your content solely by virtue of hosting it, but it does require broad rights to operate, distribute, secure, analyze, promote, and enforce in relation to that content.
14. License Granted to Funmerce
By submitting, uploading, posting, transmitting, displaying, or otherwise making content available through Funmerce, you grant to Funmerce and Gasobu Technologies Uganda Limited a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, reproduce, distribute, transmit, communicate, display, perform, publish, translate, adapt, reformat, modify, create derivative materials from, index, analyze, use, and otherwise exploit the content for the purposes of operating, improving, promoting, securing, moderating, enforcing, and developing the Services, including commerce, recommendation, search, safety, analytics, syndication, support, legal, archival, and future product uses.
This license survives for as long as reasonably necessary to provide the Services, maintain backups, enforce rights, comply with law, resolve disputes, prevent abuse, and honor prior sharing or technical distribution realities.
15. Video Upload Rights
If you upload a video to Funmerce, you represent and warrant that you have all rights, permissions, consents, licenses, and legal authority necessary for the upload and for all uses contemplated by the Services. This includes rights in audiovisual material, music, sound recordings, voice, likeness, scripts, graphics, trademarks, product demonstrations, and any third-party content appearing in the video.
You must not upload manipulated product videos or misleading demonstrations that create a false or materially distorted impression of a product's nature, quality, origin, performance, or included features. Where a video is used to sell a product, the seller bears heightened responsibility for accuracy and authenticity.
16. Intellectual Property Protections
Funmerce respects intellectual property rights and requires users and sellers to do the same. You may not upload, list, share, display, distribute, or sell content or products that infringe copyrights, trademarks, patents, trade dress, trade secrets, publicity rights, database rights, or other proprietary rights. Rights holders may submit complaints in accordance with our reporting procedures, and Funmerce may remove or restrict allegedly infringing material while a complaint is reviewed.
Repeated infringement, counterfeit activity, or abusive rights assertions may result in suspension, termination, listing removal, store shutdown, withheld payouts where lawful, and additional enforcement.
17. Platform Moderation Rights
Funmerce may review, moderate, label, de-rank, age-restrict, geo-restrict, gate, disable, remove, reject, edit metadata for, or otherwise limit any content, product listing, review, store, message, comment, deep link destination, or account where we believe such action is necessary or appropriate for trust and safety, legal compliance, authenticity enforcement, fraud prevention, intellectual property protection, risk management, operational stability, or user experience quality.
Funmerce may remove any content without prior notice. We may also limit the reach or distribution of violating or suspicious content, even where the content is not fully removed.
18. Suspension Rights
Funmerce may suspend or limit any account, store, listing, transaction, payout, referral benefit, deep link, recommendation eligibility, messaging privilege, or feature access at any time, with or without prior notice, if we believe that a user or seller has violated these Terms, created legal or safety risk, engaged in suspicious or fraudulent conduct, submitted misleading information, received excessive complaints, or otherwise threatened platform integrity.
Suspension may be temporary, indefinite, feature-specific, or conditional upon remediation, verification, appeal, or other corrective action.
19. Termination Rights
Funmerce may terminate your access to the Services, delete or disable content, close stores, cancel listings, or permanently ban associated accounts or identities where we determine, in our sole discretion and to the extent permitted by law, that continued access is inconsistent with trust and safety, legal compliance, business operations, or platform integrity. You may stop using Funmerce at any time, but termination does not relieve you of obligations incurred before termination, including payment obligations, order fulfillment duties, dispute obligations, indemnity obligations, or compliance responsibilities.
20. Marketplace Limitations
Funmerce provides digital tools and infrastructure for discovery, engagement, and commerce, but the existence of a listing, store, product video, or recommendation does not constitute a guarantee by Funmerce that a product is lawful, safe, genuine, available, merchantable, or fit for any particular purpose. Buyers and sellers transact at their own risk subject to applicable law and the protections expressly offered by Funmerce.
21. Role of Funmerce as Platform Intermediary
Except where Funmerce is expressly identified as the merchant of record or direct seller, Funmerce acts as a platform intermediary that enables users and sellers to create, discover, market, purchase, and sell products and content. Funmerce is not ordinarily a party to the underlying sale contract between buyer and seller, is not the manufacturer or owner of third-party inventory, and does not assume the seller's legal obligations relating to product quality, authenticity, safety, labeling, licensing, warranties, fulfillment, or tax compliance.
Funmerce may, however, facilitate payments, refunds, shipping tools, communications, promotions, trust controls, or dispute workflows without thereby assuming the seller's substantive obligations.
22. No Guarantee of Sales
Funmerce does not guarantee visibility, traffic, engagement, conversion, order volume, sales, follower growth, recommendation distribution, eligibility for promotion, or commercial success. Recommendation and ranking systems are dynamic and may change over time based on user behavior, trust and safety considerations, inventory relevance, quality signals, experimentation, legal restrictions, and other factors.
23. Seller Responsibility for Compliance
Sellers are solely responsible for ensuring that their business operations and products comply with all laws and regulations applicable in every jurisdiction into which they market, advertise, ship, or sell. This includes consumer protection, unfair trade, product safety, labeling, advertising, tax, import and export, sanctions, customs, environmental, electronic payments, privacy, and intellectual property laws. Cross-border sellers must ensure they are legally permitted to sell to buyers in target jurisdictions and that they meet all local disclosure, packaging, and registration obligations.
24. Pricing Obligations
Sellers must display truthful, accurate, and non-deceptive pricing at all times. Fake pricing, hidden charges, bait pricing, inflated reference prices, false discounts, or pricing designed to mislead users regarding a product's value or urgency are prohibited. Sellers are responsible for ensuring that all price components, including shipping, taxes where required, fees, or conditions, are clearly disclosed before purchase.
Funmerce may remove, correct, suppress, or suspend listings associated with suspicious pricing behavior.
25. Taxes and Local Compliance
Sellers are solely responsible for determining, collecting, remitting, reporting, and documenting all taxes, levies, duties, withholding obligations, and statutory charges applicable to their sales, income, imports, exports, or business operations, unless Funmerce expressly assumes a specific tax collection role by law or written notice. Buyers are responsible for taxes, customs duties, import charges, or similar amounts imposed on them by law.
Funmerce may request tax information, business documentation, or compliance evidence and may withhold payouts or restrict access where legally required.
26. Refund Principles
Refund eligibility, return windows, defective goods handling, cancellation rights, and related remedies may depend on seller terms, applicable consumer law, payment network rules, and Funmerce policies. Sellers must maintain fair, lawful, and clearly disclosed refund and return practices. Funmerce may establish minimum platform standards for returns, cancellations, defective goods handling, or non-delivery outcomes.
Where Funmerce facilitates payment flows, we may issue, route, hold, offset, or reverse funds where reasonably necessary to administer refunds, prevent fraud, respond to chargebacks, comply with law, or enforce these Terms.
27. Shipping Obligations
Sellers are responsible for shipping goods accurately, lawfully, and within the timelines represented to buyers. Sellers must ensure that shipments are properly packaged, addressed, documented, and compliant with all applicable transport, customs, and dangerous goods requirements. Shipment tracking, proof of dispatch, and delivery documentation may be required to resolve disputes, maintain seller standing, or release funds.
28. Delivery Disputes
Where buyers and sellers dispute delivery, non-delivery, damage, delay, shortage, substitution, or misrouting, Funmerce may request evidence from one or both parties, including tracking records, photographs, communications, delivery confirmations, and carrier documentation. Funmerce may, but is not obligated to, facilitate dispute review, hold funds, reverse payouts where permitted, or impose account or listing restrictions based on dispute patterns or findings.
29. User-Generated Comments and Reviews
Comments, reviews, ratings, and similar feedback must be truthful, relevant, and based on genuine experience. Users may not submit fabricated reviews, compensated reviews without lawful disclosure, defamatory content, extortionate feedback, spam, harassment, or coordinated review manipulation. Funmerce may remove, suppress, or annotate reviews and comments that violate these Terms or that are otherwise unreliable or harmful.
30. Community Conduct
Users must conduct themselves on Funmerce in a respectful and lawful manner. Harassment, threats, abusive language, hate-based conduct, discriminatory abuse, stalking, intimidation, sexual exploitation, and coordinated attacks are prohibited. Conduct that undermines a safe commerce and creator ecosystem may result in content removal, de-ranking, suspension, or termination.
31. Abuse Prevention
Funmerce may deploy technical, procedural, and operational controls to detect and prevent scams, spam, phishing, seller fraud, referral abuse, fake engagement, counterfeit activity, account farming, payment abuse, and other harmful behavior. Users must not interfere with or attempt to evade these controls.
32. Fake Engagement Prohibition
Users and sellers may not buy, sell, trade, generate, or solicit fake likes, comments, saves, follows, shares, views, traffic, conversions, reviews, referral events, or any other manipulated engagement. Coordinated inauthentic behavior and engagement laundering through third parties are strictly prohibited. Funmerce may invalidate affected metrics, remove content, restrict reach, reclaim incentives, suspend accounts, or pursue legal remedies.
33. Automated Usage Restrictions
You may not use bots, scripts, crawlers, macros, emulators, click farms, auto-refresh tools, automated account creation tools, or other automation to access or interact with Funmerce except where expressly authorized in writing by Funmerce. Automated use that mimics human activity, circumvents safeguards, manipulates ranking, or overloads systems is prohibited.
34. API Abuse Restrictions
If Funmerce makes APIs, feeds, or integration endpoints available, you may use them only in accordance with the applicable documentation, authorization requirements, rate limits, and written permissions. You may not use APIs to exfiltrate data, build competing databases, replicate core platform functionality, conduct surveillance, facilitate spam, manipulate engagement, or bypass platform controls.
35. Scraping Prohibition
You may not scrape, harvest, extract, copy, mirror, index, or otherwise collect data, content, listings, videos, profiles, reviews, or other materials from Funmerce by automated or systematic means without Funmerce's prior written consent. This prohibition applies whether or not the information is publicly visible and includes attempts to collect data through browser automation, headless tools, agent networks, unauthorized APIs, or disguised traffic.
36. Deep Link Usage Policy
Deep Links may be generated, shared, embedded, or forwarded only for lawful and legitimate purposes. You may not use Deep Links to mislead users, conceal destination identity in a deceptive manner, facilitate scams, impersonation, malware delivery, unauthorized data collection, or coordinated policy evasion. Funmerce may disable, redirect, expire, or restrict Deep Links associated with abuse, legal risk, expired content, enforcement action, or operational necessity.
37. Referral Abuse Policy
Where Funmerce offers referral or invite programs, participants must comply with all program rules and may not generate self-referrals, fake accounts, synthetic traffic, device farms, repeated abuse through shared identifiers, or misleading promotional claims. Funmerce may void rewards, claw back benefits, delay payouts, or suspend related accounts where referral abuse is suspected or confirmed.
38. Recommendation Manipulation Prohibition
Users and sellers may not manipulate or attempt to manipulate recommendation systems, search ranking, feed distribution, or relevance scoring through deceptive engagement practices, hidden redirects, false metadata, repetitive spam uploads, coordinated inauthentic behavior, misleading watch inducement, artificial traffic, or any other improper means. Funmerce may investigate suspicious patterns and may limit reach, revoke visibility, remove content, or suspend accounts for trust and safety reasons.
39. Fraud Investigations
Funmerce may investigate suspicious sellers, buyers, creators, stores, products, transactions, referrals, payouts, reviews, traffic patterns, or other activity where fraud, counterfeit conduct, abuse, or legal risk is suspected. Investigations may involve automated tools, human review, requests for documents, transaction holds, account limitations, law enforcement referrals, payment network coordination, or evidence preservation.
40. Platform Investigations
Funmerce may investigate potential violations of these Terms, complaints from users or rights holders, regulatory concerns, payment disputes, moderation evasion, harmful goods activity, or other threats to the Services. Users must cooperate reasonably with lawful investigation requests and must not provide false, incomplete, or misleading information during such investigations.
41. Intellectual Property Complaints
Rights holders or their authorized representatives may submit complaints concerning allegedly infringing content, counterfeit listings, unauthorized brand use, or other rights violations. Complaints should include sufficient detail for Funmerce to identify the material, assess the basis of the claim, contact relevant parties, and take appropriate action. Abuse of complaint systems, including knowingly false or bad-faith assertions, is prohibited.
42. Trademark Protections
Users may not use another party's trademarks, logos, brand names, trade dress, or similar source identifiers in a manner that is unauthorized, infringing, deceptive, or likely to create confusion as to source, affiliation, endorsement, or authenticity. Sellers must ensure that branded goods are genuine and authorized for sale and that brand references in listings or videos are accurate and lawful.
43. Copyright Complaints
Funmerce may receive and process notices alleging copyright infringement in videos, music, images, descriptions, reviews, store assets, or other content. We may remove or disable access to allegedly infringing material, notify the affected user, request additional information, or apply repeat-infringer measures as appropriate. Nothing in these Terms requires Funmerce to adjudicate ownership disputes conclusively.
44. DMCA-Style Process
Although Funmerce is Uganda-first in origin, it may, as a matter of policy and operational practicality, accept and process copyright complaints and counter-notices using a DMCA-style framework or comparable notice-and-action process adapted to applicable law. Complainants should identify the work claimed to be infringed, the allegedly infringing material, the basis of the claim, and contact details. Users subject to a removal may be given an opportunity to respond or submit a counter-notice where appropriate and lawful.
Funmerce may forward complaint materials to the affected user, rights holder, hosting provider, payment partner, or competent authority where necessary to administer the process, protect rights, or comply with law.
45. Limitation of Liability
To the maximum extent permitted by law, Funmerce, Gasobu Technologies Uganda Limited, and their respective affiliates, directors, officers, employees, contractors, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or loss-based damages, including loss of profits, revenue, business, goodwill, opportunity, data, reputation, sales, audience reach, content visibility, or anticipated savings, arising out of or related to the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the aggregate liability of Funmerce and Gasobu Technologies Uganda Limited for all claims arising out of or relating to the Services shall not exceed the greater of: (a) the amount paid by you to Funmerce, if any, in the twelve months preceding the event giving rise to the claim; or (b) one hundred United States dollars (USD 100) or the equivalent amount in local currency. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
46. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an "as is," "as available," and "with all faults" basis. Funmerce disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, security, error-free operation, compatibility, or results from use of the Services.
Funmerce does not warrant that content, listings, sellers, buyers, reviews, recommendations, rankings, deep links, or platform outputs will be accurate, complete, lawful, authentic, safe, reliable, or suitable for your needs.
47. Indemnification
You agree to defend, indemnify, and hold harmless Funmerce, Gasobu Technologies Uganda Limited, and their affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, losses, damages, judgments, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to: your use of the Services; your content; your products; your store; your violation of these Terms; your infringement or misappropriation of any rights; your fraud, negligence, willful misconduct, or unlawful acts; your failure to comply with tax, product safety, advertising, customs, consumer protection, or other legal obligations; or disputes between you and another user.
48. Service Interruptions
Funmerce may experience downtime, degradation, latency, outages, data delays, payment interruptions, media failures, recommendation shifts, or other service disruptions resulting from maintenance, scaling, technical issues, security events, third-party failures, regulatory action, force majeure, or platform changes. Funmerce is not liable for losses arising from such interruptions to the maximum extent permitted by law.
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, where commercially, legally, or operationally necessary.
49. Beta Features
Funmerce may offer alpha, beta, pilot, experimental, or limited-release features from time to time. Beta features may be incomplete, unstable, modified, or withdrawn at any time and may be subject to supplemental terms. Beta features are provided for testing and evaluation and may contain defects or limitations that are greater than those of generally available features.
50. Livestream Commerce Future Clauses
If Funmerce introduces livestream shopping or related live commerce functionality, users and sellers participating in those features must comply with additional standards relating to real-time representations, sales claims, disclosures, moderation, promotions, and audience interactions. Funmerce may delay, restrict, archive, review, remove, or terminate livestream sessions or related commerce offers where safety, fraud, rights, legal, or operational concerns arise.
51. Future Monetization Clauses
Funmerce may introduce creator monetization, revenue sharing, affiliate commerce, tipping, brand partnership tools, subscriptions, bonuses, wallet balances, seller-financing tools, or other financial incentive programs. Eligibility for such programs may depend on region, age, compliance status, content category, payment capability, tax documentation, and platform integrity standing. Funmerce may set, amend, suspend, or terminate such programs and may withhold, offset, reverse, or recover payouts where abuse, error, fraud, ineligibility, policy violations, or legal requirements apply.
52. Ad Product Future Clauses
Funmerce may develop and offer advertising products, sponsored placement, boosted distribution, seller promotion tools, or other paid visibility services. Participation in such products does not guarantee any minimum results, distribution, conversion, or commercial outcome. Advertisers and sellers using such features remain solely responsible for ad legality, substantiation, targeting lawfulness, disclosures, rights clearance, and regulatory compliance in each relevant jurisdiction.
53. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Uganda, without regard to conflict-of-laws rules, except to the extent mandatory law in another jurisdiction applies and cannot be contractually excluded. Gasobu Technologies Uganda Limited may also adopt jurisdiction-specific supplements, seller terms, consumer notices, or mandatory disclosures as Funmerce expands internationally.
54. Dispute Resolution
Before commencing formal proceedings, you agree to attempt in good faith to resolve disputes by contacting Funmerce with sufficient detail regarding the issue, supporting information, and the relief sought. Funmerce may require that platform complaints, transaction disputes, intellectual property complaints, trust and safety appeals, or seller enforcement disputes be submitted through designated channels before further escalation.
Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where necessary to prevent irreparable harm, fraud, misuse of intellectual property, abuse of systems, or unlawful conduct.
55. Arbitration Option Language
To the extent permitted by applicable law and where separately implemented by Funmerce for a given jurisdiction, Funmerce may require or offer binding arbitration for certain disputes arising out of or relating to the Services, excluding matters that cannot lawfully be arbitrated or that qualify for small claims or equivalent procedures. Any such arbitration framework may be set out in a jurisdiction-specific supplement or notice and may include procedures relating to venue, language, governing rules, fee allocation, and opt-out rights where legally required.
In the absence of a valid and applicable arbitration framework, disputes shall be brought before the competent courts of Uganda, subject to mandatory rights available under applicable consumer law.
56. Changes to Terms
Funmerce may revise these Terms of Service at any time to reflect changes in law, regulation, platform functionality, product direction, safety practices, commerce models, payment systems, monetization programs, ad products, international expansion, or business operations. Revised Terms become effective when posted or on the effective date stated in the revised version. Where required by law, Funmerce will provide additional notice or obtain consent. Continued use of the Services after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.
